1. About these terms
Inventra is an inventory and sales service for shops that sell phones, laptops and accessories. It is provided by [Company legal name] (RC [CAC registration number]), [Registered address], Kano, Nigeria ("Inventra", "we", "us").
These terms are an agreement between us and you, the person using Inventra. If you use Inventra for a store, you also agree to them on that store's behalf. You accept them when you activate your account, and again whenever we publish a new version. If you do not agree, do not use Inventra.
2. The service
Inventra lets a store record its devices, products and stock, make sales and print receipts, keep track of money customers still owe, add staff with their own permissions, and see reports. A store joins Inventra through us: we open the store for its owner, and the owner adds staff.
Inventra is a record-keeping tool. It does not give accounting, tax or legal advice, and you remain responsible for the records your business must keep by law.
3. Your account
- You sign in with your phone number and a password. We send one-time codes to your phone by SMS to confirm it is yours; we do not use SMS for anything else.
- Keep your password to yourself. Everything done while signed in to your account is treated as done by you. Tell us at once at [support email address] if you think someone else has used it.
- You must be at least 18 years old and give us true details about yourself.
- If you own a store, you decide who works in it and what each person may do, and you are responsible for what your staff do in Inventra.
4. Fees and payment
- A store pays a one-time onboarding fee and an annual subscription. The amounts are agreed before the store is opened and shown on the store's subscription page.
- Online payments are handled by Paystack or Monnify under their own terms. We never see or store your card details.
- Renewing adds a year from the end of the current period, or from the day of payment if the period has already ended.
- If a subscription is not renewed, the store becomes read-only: everything can still be looked up and exported, but nothing new can be recorded. After a grace period (currently [grace period in days]) the store closes until it is renewed. Nothing is deleted because a subscription lapsed.
- Fees are not refundable, except where the law requires otherwise. We will give at least [30] days' notice of any change to the annual fee, and a change applies from the next renewal.
5. Your data
The records a store keeps in Inventra belong to the store. The owner, and staff the owner allows, can export them at any time as CSV files. We use them only to provide Inventra, as our privacy policy explains.
When you record a customer's name and phone number, your store decides why and how that information is used, and you must have a lawful reason to record it under the Nigeria Data Protection Act 2023. We process it for you and on your instructions.
6. Fair use
You must not use Inventra to:
- buy, sell or record goods you know or suspect to be stolen or counterfeit;
- break any law, or help anyone else to;
- try to get into accounts, stores or data that are not yours, or test, overload or work around Inventra's security;
- copy, resell or give others access to Inventra without our written agreement.
7. Availability and changes
We work to keep Inventra available and your data safe, and we back it up every day. Inventra may sometimes be unavailable for maintenance or for reasons outside our control. We improve Inventra over time and may change or remove features; we will tell owners in advance of any change that takes away something they rely on.
8. Suspension and closing a store
We may suspend a store or an account that breaks these terms, puts other people at risk, or is required to be suspended by law. Where we can, we will tell the owner first and give a chance to put things right.
An owner may stop using Inventra at any time. After a store closes, the owner may ask us to delete its records; we will do so except where the law requires us to keep them.
9. Liability
We provide Inventra with reasonable care and skill. To the extent the law allows, we are not liable for loss of profit, business or goodwill, or for indirect loss, and our total liability to a store in any year is limited to the fees that store paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
You agree to make good any loss we suffer because you broke these terms or the law while using Inventra.
10. Changes to these terms
When we change these terms we publish a new version here with a new version number, and Inventra asks you to accept it before you carry on. We tell owners about important changes before they apply.
11. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, we will first try to settle it with you in good faith; if we cannot, it will be decided by the Nigerian courts.
